Article I. Name of the Organization
The name of this organization shall be the Collin County Libertarian Party, hereinafter referred to as the CCLP. The CCLP is an affiliate of the Libertarian Party of Texas, hereinafter referred to as the Texas LP.
Article II. Purpose of the Organization
For the purpose of advancing the political interests and effectiveness of Collin County
Libertarians and complying with laws governing political parties nominating by convention, the CCLP shall:
- Promote and support the election of Libertarian candidates to public office,
- Perform such duties specified in the Texas Election Code, and
- Cooperate with the Libertarian Party of Texas and the national Libertarian Party in the participation of activities that support Libertarian candidates and
Article III. Membership
Membership in the CCLP is open to registered Collin County voters who affiliate with the Libertarian Party through the precinct or county convention process or in non-election years who sign an Oath of Affiliation. Oaths may be administered and affidavit taken by any member of the CCLP Executive Committee or any official appointed by the Executive Committee to accept affidavits.
Article IV. Governance
Section 4.01 Executive Committee
There shall be a minimum of three (3) elected Officers of the CCLP, holding three (3) of the following positions: Chair, Vice-Chair, Treasurer and Secretary. These shall form the initial Executive Committee. All Officers must be CCLP members. All Officers shall be elected by a majority vote at a regular County Convention. The new Officers shall assume their duties immediately upon the adjournment of the Convention in which they were elected and shall serve at the pleasure of the CCLP members for a term of two years or until the election of their successors. The Executive Committee shall perform the duties prescribed by these bylaws and by the parliamentary authority adopted by the CCLP, exercising full authority over the affairs of the CCLP between the regular Conventions.
Section 4.02 District Directors
Up to two (2) Directors may be elected at a regular County Convention to represent each of the four (4) County Commissioner Districts of Collin County by a majority vote of delegates residing within the respective districts. Directors may be appointed to fill vacant seats by a majority vote of the Executive Committee. A Director shall take office upon appointment and shall serve as a full member of the Executive Committee until the next regular Convention or until removal. All Directors must be CCLP members and reside within the district they represent.
Section 4.03 At-Large Directors
Up to two (2) additional at-large Directors may be elected by a majority vote at a regular County Convention or appointed by a majority of the current Executive Committee to serve as full members of the Executive Committee. An at-large Director shall take office upon appointment and shall serve as a full member of the Executive Committee until the next regular Convention or until removal. All Directors must be CCLP members.
Section 4.04 County Chair
The Chair shall be the principal and presiding officer of the Executive Committee and the chief executive officer of the CCLP and shall perform such duties as usually pertains to the office of chair. In the event a Chair is appointed by the state, the appointed Chair shall call a Special Convention no earlier than 14 and no later than 60 days after appointment for the purpose of electing all Executive Committee members. It will be the duty of the Chair to issue an annual report of the progress of the CCLP at the completion of the year. This report will be issued no later than the first annual business meeting of the CCLP.
Section 4.05 County Vice Chair
Vice-Chair shall act as the assistant to the Chair and shall perform the duties of the Chair in his or her absence, and shall also perform other such duties as pertain to membership on the Collin County Executive Committee. If the position of Chair becomes vacant, the Vice-Chair shall assume the position of Chair until the end of the previous Chair’s term or until a new Chair is elected in special convention. The Vice-Chair may also be called upon, at the request of the Chair, to fulfill the duties of the Treasurer or Secretary in the absence of either officer or in the event that one of those offices becomes vacant.
Section 4.06 County Secretary
The Secretary shall keep an accurate and complete record of the proceedings of all official meetings of the CCLP, and shall keep these records up to date, organized, and available. The Secretary shall also keep a record of CCLP affiliates and dates of their affiliation. The Secretary may also be called upon, at the request of the Chair, to fulfill the duties of the Treasurer in the absence of the Treasurer or in the event that the office becomes vacant.
Section 4.07 County Treasurer
The Treasurer, or the Treasurer’s designated agent, shall receive and give receipts for all monies paid to the CCLP, and shall deposit same in such bank(s) as shall have been designated by the CCLP. At each regularly scheduled Executive Committee meeting, the Treasurer shall provide a verbal review of the ledger for the previous three months, and a written report to the Secretary, to become part of the meeting minutes. The Treasurer shall make all needed reports to the Texas Ethics Commission and keep up to date and organized financial records for the CCLP. The Treasurer may also be called upon, at the request of the Chair, to fulfill the duties of the Secretary in the absence of the Secretary or in the event that the office becomes vacant.
Section 4.08 Removal From Office
Any member of the Executive Committee may be removed in any of the following ways:
- A vote by a two-thirds majority of the Executive Committee to remove the member.
- A vote of “no confidence.” At any business meeting of the Executive Committee, any CCLP member may make a motion to take a vote of “no confidence” in an Executive Committee member. Such a motion shall supersede all other motions in priority other than points of order, points of inquiry, and adjournment. If a two-thirds majority of CCLP members present vote in favor of the motion, the Executive Committee member shall be removed.
- Resignation.
- If an Executive Committee member ceases to qualify as a CCLP member, he or she shall be removed from the Executive Committee.
Section 4.09 Special Convention
A vacancy in the office of Vice Chair, Secretary, or Treasurer may be filled by a special convention, scheduled no earlier than 14 days and no later than 60 days after the vacancy occurs. The Secretary shall issue a notice to CCLP members at least seven days prior to such convention of the agenda, location and schedule of such convention. If the Secretary is one of the vacant offices, the Chair shall issue such notice. If the office of Chair becomes vacant, the Vice-Chair shall assume the office of Chair. If the offices of Chair, Vice-Chair, and Secretary become vacant, the Treasurer shall issue such notice. If the offices of Chair, Vice-Chair, Secretary and Treasurer all become vacant, any member of the Executive Committee can be appointed to issue such notice.
Section 4.10 Multiple Offices
No person shall hold multiple Executive Committee offices, however some person may fulfill the duties of more than one office while holding only one office as outlined above. In no event shall an Executive Committee member be allowed to cast more than one vote on matters before the Executive Committee. There shall be no vote by proxy.
Article V. Executive Committee Business Meetings
Unless otherwise ordered by the Executive Committee, regularly scheduled quarterly business meetings of the Executive Committee shall be held. Special business meetings of the Executive Committee may be called by the Chair or by the written request of two-thirds of the Executive Committee. All regular and special business meetings of the Executive Committee shall be held between 6 and 11 PM on normal business days or between 10 AM and 9 PM on all other days. All meetings, both quarterly meetings and special business meetings, must be announced at least fourteen (14) days before the meeting date. A majority of the Executive Committee shall constitute a quorum at all business meetings of the Executive Committee. All business meetings of the Executive Committee shall be open to the public.
Article VI. Conventions
A regular County Convention of the CCLP shall be held in each general election voting year. The Secretary shall maintain a roster of the delegates’ names and addresses for two years. Subsequent additions to this list shall not be permitted. Address changes and deletions as a result of events that would invalidate an affiliation are required to be performed.
Article VII. Parliamentary Authority
These bylaws constitute the official rules of the CCLP, and all other matters are governed by the rules of the TexasLP.
For any rules not specifically covered in these bylaws or the rules of TexasLP, the rules contained in the Ninth Edition of Robert’s Rules of Order Newly Revised shall govern the meetings of the CCLP and the Executive Committee.
Article VIII. Amendment of Bylaws
These bylaws may be amended, at a regular County Convention or at a special meeting of
CCLP members, by a two-thirds vote of those members present. To amend at a special meeting shall require that the Secretary send a 14-day notice of such a meeting, with the text of the proposed amendment, to all CCLP members at least seven days before such a meeting.
